Terms of service
These terms govern use of the Applicai platform. Please read them. By opening an account or using Applicai, you agree to them.
1. Who these terms are between
These terms are an agreement between Infinet Strategies Inc. (“Infinet Strategies”, “we”, “us”), a company carrying on business in British Columbia, Canada, and the person or organisation that holds the account (“you”, “the customer”). If you use Applicai as an individual user on an organisation’s account, you use it on that organisation’s behalf and these terms apply to your use. If you hold an account in your own name, you are the customer and these terms apply to you directly.
In these terms, Applicai means the platform Infinet Strategies Inc. provides. Applicai is the name of the product, not a separate legal entity; your contract is with Infinet Strategies Inc.
If you have signed a separate written agreement or order form with us, that agreement governs where it conflicts with these terms.
2. The service
Applicai is a hosted software platform for preparing and managing development, land-use, permit and grant applications: tracking files and their status, storing documents and correspondence, and monitoring deadlines and approvals. We provide it to you as a service over the internet for the term of your subscription.
3. Eligibility
Applicai is available to individuals, businesses and professionals for personal, business or professional use. To open an account, you must be at least 19 years old and provide accurate registration information. If you register on behalf of an organisation, you must be authorised to act for that organisation.
4. Accounts and security
You are responsible for your account and for everything done under it. That includes:
- keeping credentials confidential and not sharing logins between people;
- making sure the users you authorise use Applicai in line with these terms;
- removing users who no longer need access; and
- telling us promptly at info@applicai.ca if you suspect an account has been compromised.
We may require two-factor authentication on some or all accounts. If you provide a mobile number for verification, keep it current; a number you no longer control can lock you out or let someone else in.
5. Text messages
If you give us your mobile number and turn on notifications for a job, we send a text message to it when new mail arrives on that job. We send no marketing text messages. Message and data rates may apply. Reply HELP for support contact details or STOP to stop messages — stopping them does not affect your ability to sign in or use Applicai. Our SMS messaging terms form part of this agreement.
6. Acceptable use
You must not:
- use Applicai to break the law, infringe anyone’s rights, or submit information you know to be false to a public authority;
- upload malicious code, or attempt to gain unauthorised access to the platform, its infrastructure, or another customer’s data;
- interfere with or place unreasonable load on the service, or circumvent usage limits;
- copy, resell, sublicense or provide the service to a third party as a service of your own, unless we agree in writing;
- reverse engineer, decompile, or attempt to derive the source code of the platform, except to the extent the law permits despite this restriction; or
- upload personal information you do not have the authority to collect, use and disclose.
7. Your content
You keep ownership of everything you put into Applicai — documents, correspondence, application data and notes (“your content”). You grant us a limited licence to host, store, copy, transmit, display and process your content solely to provide and support the service to you, and as required by law.
You are responsible for the accuracy and legality of your content and for having the rights and consents needed to put it into Applicai.
While your account is active, you can ask us for a copy of your content and we will provide it in a reasonable format and timeframe. After termination we retain it for a limited period so you can retrieve it, and after that we delete it in the ordinary course, subject to backups and any legal retention obligation.
8. AI features
Applicai includes AI features that help with your work — for example by drafting text, summarising correspondence, and suggesting tasks, records and details drawn from your files. We add and change these features over time, and this section governs all of them.
AI features assist you; they are not a substitute for your own review. AI output can be wrong, incomplete or out of date. You are responsible for checking anything produced by an AI feature before you rely on it, act on it, or send it to a municipality or any other party.
We do not use your content to train general-purpose AI models for other parties.
9. No professional advice
Applicai is a records and workflow tool. It does not provide legal, planning, engineering, surveying, architectural or other professional advice, and using it does not create a professional relationship of that kind. Nothing in the platform is a substitute for the judgement of a qualified professional or for the requirements set by the authority having jurisdiction.
10. Municipal processes and third parties
Local governments, agencies and other third parties set their own requirements, procedures, fees and timelines, and change them without notice to us. Any status, date, reminder or checklist feature Applicai offers is a convenience based on information you or we have entered; it is not a guarantee that a requirement has been met or that a date is correct.
You remain responsible for meeting every deadline and requirement that applies to your applications. Verify anything that matters directly with the authority having jurisdiction.
11. Fees and payment
Fees, billing periods, user counts and any usage limits are those set out in the order form, quote or subscription plan you accept. Unless stated otherwise, fees are in Canadian dollars, exclusive of applicable taxes, and payable in advance. Late amounts may be subject to interest and to suspension of the account under section 15. Fees already paid are non-refundable except where the law requires otherwise or we agree in writing.
We may change our fees for a renewal term by giving you notice before that term begins.
12. Availability, support and changes
We aim to keep Applicai available and to fix faults promptly, but we do not promise uninterrupted service. We may take the platform down for maintenance, and will give advance notice of planned maintenance where practical.
Support requests go to info@applicai.ca. We aim to respond within a reasonable time on business days in British Columbia.
We may add, change or remove features. If we remove or materially degrade a feature you rely on, we will give reasonable notice.
13. Our intellectual property
The Applicai platform, its software, design, documentation and trade marks are ours or our licensors’. These terms grant you a non-exclusive, non-transferable right to use the service during your subscription, and nothing more. Feedback you give us about the product we may use freely, without obligation to you.
14. Privacy
Our handling of personal information is described in our privacy policy, which forms part of this agreement. Where you put other people’s personal information into Applicai, you are responsible for having the authority to do so, and we process it on your instructions to provide the service.
15. Suspension and termination
You may end your subscription at the end of its current term by giving us notice, or as set out in your order form.
We may suspend an account, or particular users, on notice where fees are overdue, where an account is being used in breach of section 6, or where suspension is needed to protect the platform or other customers. We will restore access once the cause is resolved. We may terminate this agreement if a material breach is not remedied within a reasonable period after we give notice of it.
On termination your right to use Applicai ends. Sections that by their nature should survive — including 7, 13, 16, 17, 18 and 20 — survive.
16. Disclaimer of warranties
Except as expressly stated in these terms, Applicai is provided “as is” and “as available”. To the extent the law permits, we disclaim all other warranties, conditions and representations, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be error-free or uninterrupted, or that any output, reminder or record in the platform is accurate or complete.
17. Limitation of liability
To the extent the law permits, neither party is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, or lost or corrupted data, however caused.
To the extent the law permits, our total aggregate liability arising out of or relating to this agreement or the service, whether in contract, tort (including negligence) or otherwise, is limited to the fees you paid us for the service in the twelve months before the event giving rise to the claim.
Nothing in these terms limits liability that cannot be limited by law. You may have rights under applicable law that cannot be excluded; nothing here is intended to affect those rights.
18. Indemnity
You will defend and indemnify us against claims, damages and reasonable costs arising from your content, from your use of Applicai in breach of these terms or of the law, or from a claim that your content infringes a third party’s rights. We will notify you promptly of any such claim and give you reasonable cooperation in defending it.
19. Changes to these terms
We may change these terms. If a change is material, we will give account holders notice by email or through the platform before it takes effect. Continuing to use Applicai after a change takes effect means you accept the revised terms; if you do not accept them, you may end your subscription as set out in section 15.
20. Governing law
These terms are governed by the laws of the Province of British Columbia and the laws of Canada that apply there, without regard to conflict of laws rules. The courts of British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these terms or the service, and each party attorns to that jurisdiction.
21. General
If a provision of these terms is unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign this agreement without our written consent; we may assign it to a successor to our business. These terms, together with our privacy policy, our SMS messaging terms and any order form you have accepted, are the entire agreement between us about the service.
